VisiPay Terms and Conditions (Terms of Use)

These Terms of Use govern access to and use of the VisiPay platform operated by VisiPay, LLC.

​

By accessing or using the platform, you agree to these Terms.

​

1. Platform Description

VisiPay provides software infrastructure that facilitates project coordination, documentation management, and payment workflows between project participants.

The platform may include:

  • project escrow visibility

  • document management

  • milestone verification

  • payment release workflows

 

VisiPay provides the technology platform but is not a party to underlying service contracts between project participants. 

 

2. User Accounts

Users must create an account to access platform features.

Users agree to:

  • provide accurate information

  • maintain account security

  • notify VisiPay of unauthorized use

 

Users are responsible for all activity conducted under their accounts.

 

3. User Roles

Users may participate in projects in roles such as:

  • project owner

  • contractor

  • subcontractor

  • reviewer

  • administrator

 

Permissions and access are determined by role within each project.

 

4. Platform Functionality

The platform enables:

  • project setup

  • documentation storage

  • milestone verification

  • payment workflow tracking

  • escrow visibility

  • transaction initiation through financial partners

 

Funds are released only after approval conditions defined by project participants are satisfied.

5. Payment Processing

VisiPay may facilitate payment instructions through third-party financial institutions.

VisiPay does not guarantee:

  • payment completion

  • availability of funds

  • financial solvency of project participants

 

Users remain responsible for verifying contractual terms.

6. Fees

VisiPay may charge transaction or subscription fees for use of the platform.

​

Fees will be disclosed prior to transaction execution.

​

7. Acceptable Use

Users agree not to:

  • upload fraudulent documents

  • misrepresent project completion

  • attempt unauthorized access

  • use the platform for illegal activities

  • interfere with platform operation

 

8. Intellectual Property

All platform software, branding, and technology are the property of VisiPay, LLC.

Users may not copy, reverse engineer, or reproduce the platform without permission.

9. Data and Records

Users acknowledge that:

  • actions performed on the platform may generate permanent records

  • project activity may be recorded for audit and dispute resolution

 

These records may include timestamped event logs and verification records.

 

10. Disputes Between Users

VisiPay does not arbitrate contractual disputes between project participants.

 

Users are responsible for resolving disputes through their contractual agreements.

 

The platform may provide documentation that assists in dispute resolution.

11. Limitation of Liability

To the maximum extent permitted by law, VisiPay shall not be liable for:

  • project disputes

  • payment failures caused by third parties

  • indirect or consequential damages

  • lost profits or business interruption

 

Total liability shall not exceed fees paid to VisiPay within the preceding twelve months.

 

12. Termination

VisiPay may suspend or terminate accounts for:

  • violation of these Terms

  • suspected fraud

  • legal or regulatory requirements

 

Users may terminate their accounts at any time.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

 

14. Changes to Terms

VisiPay may modify these Terms periodically. Continued use of the platform constitutes acceptance of updated Terms.
